Compliance and Amendments. The Indenture Trustee and the Back-up Servicer shall comply in all material respects with the terms and conditions of the Transaction Documents to which it is a party and the Indenture Trustee and the Back-up Servicer shall not agree to any amendment to or modification of the terms of any of the Transaction Documents to which it is a party unless the Insurer shall otherwise give its prior written consent.
