Completeness; Modification. This Memorandum, including its exhibits and documents incorporated by reference, constitutes the entire agreement and understanding of the parties with respect to its subject matter and supersedes all prior written or verbal agreements, discussions, understandings, representations and negotiations among the parties, except the Act. This Memorandum may be modified only by a written instrument duly executed by all parties and any such modification must be in accordance with the Act. Any modification to this Memorandum shall be submitted by the Secretary of Commerce and Trade to the chairmen of the House Committee on Appropriations and the Senate Committee on Finance no later than 30 days after being executed by the Secretary of Commerce and Trade. To the extent any inconsistency between the Act and this Memorandum exists, the terms of the Act shall control.
