Common use of Completeness; Modification Clause in Contracts

Completeness; Modification. Except as otherwise expressly provided herein, this Agreement, and the Closing Documents, constitute the entire agreement between the parties hereto, and supersede all prior discussions, understandings, agreements and negotiations between the parties hereto with respect to the transactions contemplated hereby. Subject to Section 12.7, this Agreement may be modified only by a written instrument duly executed by the parties hereto.
