Complete Common Stock. (a) Each share of Complete Common Stock outstanding immediately prior to the Effective Time shall by virtue of the Complete Merger and without any further action by the holder thereof cease to be outstanding and shall be cancelled and retired and cease to exist and shall be converted into 19.704 shares of IPS Common Stock (the “Complete Per Share Merger Consideration”), and each certificate which immediately prior to the Effective Time represented outstanding shares of Complete Common Stock shall at and after the Effective Time be deemed for all purposes to represent that number of shares of IPS Common Stock into which such shares of Complete Common Stock are convertible pursuant to this Section 2.7(a).
