Common use of COMPLETE AGREEMENT; RELEASE Clause in Contracts

COMPLETE AGREEMENT; RELEASE. This Agreement constitutes a complete and total integration of the understanding of the parties with respect to the subject matter hereof and thereof and supersedes all prior or contemporaneous negotiations, commitments, agreements, writings, and discussions with respect to the subject matter of this Agreement.

The parties agree that the Interim Agreement is terminated and shall be of no further force or effect as of the Effective Date, except as otherwise expressly provided herein.

This Agreement constitutes a complete and total integration of the understanding of the parties with respect to the subject matter hereof and thereof and supersedes all prior or contemporaneous negotiations, commitments, agreements, writings, and discussions with respect to the subject matter of this Agreement, including but not limited to the Prior Agreement. The Executive hereby unconditionally releases and discharges the Company from any and all claims, causes of action, demands, lawsuits or other charges whatsoever, known or unknown, directly or indirectly related to the Prior Agreement.
