Competitive Activity; Confidentiality; Nonsolicitation Clause Samples

This clause serves to restrict parties from engaging in activities that compete with the disclosing party, require them to maintain the confidentiality of sensitive information, and prohibit them from soliciting employees or clients. In practice, it may prevent an employee or contractor from working for a competitor, sharing proprietary information, or recruiting colleagues or customers away from the company for a specified period. The core function of this clause is to protect the business’s competitive interests, safeguard confidential information, and prevent loss of key personnel or clients due to unfair solicitation.
