Comparable. Teachers receiving a summative evaluation rating of accomplished or skilled are deemed as comparable. Reduction in Force will occur beginning with teachers with an overall evaluation rating of ineffective, followed by developing and finally those rated as comparable - skilled and accomplished.
Comparable. For the 2017-2018, 2018-2019, and 2019-2020 school years, all teachers shall be considered “comparable” on evaluation ratings for purposes of reduction in force, displacement, and recall.

  • Comparable Coverage Upon execution of this Agreement, the Bank shall maintain the Policy in full force and effect, and the Bank shall not amend, terminate or otherwise abrogate the Director’s interest in the Policy unless the Bank (a) replaces the Policy with a comparable insurance policy to cover the benefit provided under this Split Dollar Agreement and Endorsement and (b) executes a new Split Dollar Agreement and Endorsement and Endorsement for the comparable insurance policy. The Policy or any comparable policy shall be subject to the claims of the Bank’s creditors.

  • Rating 18. (1) Except where a basis for rating is otherwise agreed in writing between the Company and the relevant local authority, the State shall ensure that notwithstanding the provisions of any Act or anything done or purported to be done under any Act the valuation of the Mining Leases (except any part or parts thereof on which accommodation units or housing for the Company’s workforce is erected or which is occupied in connection with such accommodation units or housing and except as to any part upon which there stands any improvements that are used in connection with a commercial undertaking not directly related to the mining activities carried out by the Company pursuant to approved proposals) shall for rating purposes under the Local Government Act 1960, be deemed to be on the unimproved value thereof and no such lands shall be subject to any discriminatory rate and further as regards the Mining Leases that the unimproved value thereof shall be calculated on the basis that the Mining Leases are mining leases under the Mining Act and not as land held pursuant to an agreement made with the Crown in right of the State and scheduled to an Act approving the agreement.

  • Ratings At Closing Time, the Underwritten Securities shall have the ratings accorded by any “nationally recognized statistical rating organization”, as defined by the Commission for purposes of Rule 436(g)(2) of the 1933 Act Regulations (each, a “Rating Organization”), if and as specified in the applicable Terms Agreement, and the Company and the Guarantor shall have delivered to the Representative(s) a letter, dated as of such date, from each such rating organization, or other evidence satisfactory to the Representative(s), confirming that the Underwritten Securities have such ratings. Since the time of execution of such Terms Agreement, there shall not have occurred a downgrading in, or withdrawal of, the rating assigned to the Underwritten Securities or any of the Guarantor’s other securities or the Guarantor’s financial strength or claims paying ability by any such Rating Organization, and no such Rating Organization shall have publicly announced that it has under surveillance or review with negative implications its rating of the Underwritten Securities or any of the Guarantor’s other securities or the Guarantor’s financial strength or claims paying ability.

Departments of a university shall be established by the University administration with the advice of the Senate according to criteria of commonality of interest and academic purpose, without any numerical limits on size.   • Arm’s Length The Company acknowledges and agrees that (a) each of the Backstop Parties is acting solely in the capacity of an arm’s length contractual counterparty to the Company with respect to the transactions contemplated hereby (including in connection with determining the terms of the Rights Offering) and not as a financial advisor or a fiduciary to, or an agent of, the Company or any of its Subsidiaries and (b) no Backstop Party is advising the Company or any of its Subsidiaries as to any legal, tax, investment, accounting or regulatory matters in any jurisdiction.

  • Other The Servicer will furnish to the Borrower, any Managing Agent and the Administrative Agent such other information, documents records or reports respecting the Transferred Loans or the condition or operations, financial or otherwise of the Servicer as the Borrower, such Managing Agent or the Administrative Agent may from time to time reasonably request in order to protect the respective interests of the Borrower, such Managing Agent, the Administrative Agent or the Secured Parties under or as contemplated by this Agreement.

  • Credit Quality As of the Effective Date, the Fund (1) has invested at least 65% of its Managed Assets in securities that, at the time of investment, were rated within the three highest grades (i.e., A3 (or the equivalent) or A- (or the equivalent) or better) by at least one NRSRO or are unrated but judged to be of comparable quality by the Sub-Adviser and (2) has invested up to 35% of its Managed Assets in securities that, at the time of investment, were rated below the three highest grades (i.e., Baa1 (or the equivalent) or BBB+ (or the equivalent) or lower) by at least one NRSRO or are unrated but judged to be of comparable quality by the Sub-Adviser, provided that the Fund has not invested in any securities that are not municipal securities and that, at the time of investment, were rated below Baa3 (or the equivalent) or BBB- (or the equivalent).
