Common use of Company’s Refusal to Register Transfer of Units Clause in Contracts

Company’s Refusal to Register Transfer of Units. The Company shall refuse to register any transfer of the Warrants or the Warrant Shares, if in the sole judgment of the Company, such purported transfer would not be made (i) pursuant to an effective registration statement filed under the Securities Act, or (ii) pursuant to an available exemption from the registration requirements of the Securities Act.

Company’s Refusal to Register Transfer of Units. The Company shall refuse to register any transfer of the Units, the shares of Common Stock, Warrants or and the Warrant Shares, if in the sole judgment of the Company, such purported transfer would not be made (i) pursuant to an effective registration statement filed under the Securities Act, Act or (ii) pursuant to an available exemption from the registration requirements of the Securities Act.

Company’s Refusal to Register Transfer of Units. The Company shall refuse to register any transfer of the Units, the shares of Common Stock and Warrants or comprising the Units and the Warrant Shares, if not made in the sole judgment of the Company, such purported transfer would not be made accordance with (i) the provisions of Regulation S, (ii) pursuant to an effective registration statement filed under the Securities Act, or (iiiii) pursuant to an available exemption from the registration requirements of the Securities Act.

The Company shall refuse to register any transfer of the Warrants Units, the Warrants, the shares of Common Stock or the Warrant Shares, if in the sole judgment of the Company, Company such purported transfer would not be made (i) pursuant to an effective registration statement filed under the Securities Act, or (ii) pursuant to an available exemption from the registration requirements of the Securities Act.

The Company shall refuse to register any transfer of the Placement Units, shares of Common Stock and the Warrants or comprising the Warrant SharesPlacement Units, if and when issued the shares of Common Stock underlying the Warrants, not made in the sole judgment of the Company, such purported transfer would not be made accordance with (i) the provisions of Regulation S, (ii) pursuant to an effective registration statement filed under the Securities Act, or (iiiii) pursuant to an available exemption from the registration requirements of the Securities Act.

The Company shall refuse to register any transfer of the Warrants Units, the Warrants, including the warrants comprising the Units, the shares of Common Stock or the Warrant Shares, if in the sole judgment of the Company, Company such purported transfer would not be made (i) pursuant to an effective registration statement filed under the Securities Act, or (ii) pursuant to an available exemption from the registration requirements of the Securities Act.
