Company’s Knowledge. For purposes of this Agreement, the term “Company’s Knowledge,” “to the Knowledge of the Company,” “the Company has no Knowledge” or phrases of similar import means the actual knowledge, and such additional knowledge as such persons would be expected to have in the course of performing the duties of their positions in a reasonably responsible manner, of the individuals identified in Section 9.13 of the Company Disclosure Schedule.
