Common use of Company Secretary’s Certificate Clause in Contracts

Company Secretary’s Certificate. A certificate of the secretary or an assistant secretary of the Company, as to (i) resolutions of the Board of Directors of the Company then in full force and effect authorizing the execution, delivery and performance of this Amendment and each other document described herein, and (ii) the incumbency and signatures of those officers of the Company authorized to act with respect to this Amendment and each other document described herein.

Company Secretary’s Certificate. A certificate of the secretary or an assistant secretary Secretary of the Company given on behalf of the Company, and not in an individual capacity, certifying as to (i) the bylaws of the Company; and (ii) resolutions of duly adopted by the Board of Directors authorizing the execution and delivery of this Agreement by the Company and the performance by the Company of the Company then in full force and effect authorizing the execution, delivery and performance of this Amendment and each other document described herein, and (ii) the incumbency and signatures of those officers of the Company authorized to act with respect to this Amendment and each other document described hereintransactions contemplated hereby.
