Common use of Company Officers’ Certificate Clause in Contracts

Company Officers’ Certificate. The Company shall have delivered to such Purchaser an Officer’s Certificate, dated the date of such Closing, certifying that the conditions specified in Sections 4.2(a)(i), 4.2(b)(i) and 4.2(i) have been fulfilled.

Company Officers’ Certificate. The Company shall have delivered to such each Purchaser an Officer’s Certificate, dated the date of such ClosingClosing Date, certifying that the conditions specified in Sections 4.2(a)(i), 4.2(b)(i) and 4.2(i) 4.1 through 4.5 have been fulfilled.

The Company shall have delivered to such the Purchaser an Officer’s Certificatea certificate executed by a duly authorized officer of the Company in the form attached hereto as Exhibit D, dated as of the date of such ClosingClosing Date, certifying that the conditions specified set forth in Sections 4.2(a)(i3.2(a), 4.2(b)(i3.2(b) and 4.2(i3.2(g) have been fulfilledsatisfied.

The Company shall have delivered to such Purchaser Prudential and each Existing Holder an Officer’s Certificate, dated the date of such ClosingEffective Date, certifying that the conditions specified in Sections 4.2(a)(i4.1(a), 4.2(b)(i4.1(b) and 4.2(i4.1(f) have been fulfilled.
