Communications Rules Clause Samples
The Communications Rules clause sets out the procedures and requirements for how parties must communicate with each other under the agreement. Communications Rules. From the date hereof until the end of the Contract Period, Counterparty and its Employees and Designees shall not engage in any Program-Related Communication with, or disclose any Material Non-Public Information to, any EDG Trading Personnel. Except as set forth in the preceding sentence, the Confirmation shall not limit Counterparty and its Employees and Designees in their communication with Affiliates and Employees of JPMorgan, including without limitation Employees who are EDG Permitted Contacts.
Communications Rules. For each Transaction, from the Trade Date for such Transaction until the date all payments or deliveries of Shares have been made with respect to such Transaction, Counterparty and its Employees and Designees shall not engage in any Program-Related Communication with, or disclose any Material Non-Public Information to, any Trading Personnel. Except as set forth in the preceding sentence, the Master Confirmation shall not limit Counterparty and its Employees and Designees in their communication with Affiliates and Employees of Dealer, including, without limitation, Employees who are Permitted Contacts.

JPMorgan and/or its affiliate shall implement reasonable policies and procedures, designed to ensure that any affiliate or Employee of JPMorgan effecting purchases of Common Stock in connection with the Confirmation are not privy to the timing, price or amount of purchases made by those affiliates or Employees of JPMorgan effecting Discretionary Purchases on behalf of Counterparty.

2. Subject to the preceding provision, the Purchaser, any Employee of Purchaser and any Designee of Purchaser may at any time engage in any Non-Program Related Communication.
