Commitment to Effect Arrangement. Subject to the satisfaction of the terms and conditions contained in this Agreement, or the termination of this Agreement pursuant to Article 6, Pan Am and Legacy shall each use all reasonable efforts and do all things reasonably required to cause the Arrangement to become effective as soon as reasonably practicable and to cause the transactions contemplated by the Plan of Arrangement and this Agreement to be completed in accordance with their terms.
