Commitment by Company. In consideration of the exclusive license to the Intellectual Property Rights in the Territory granted to the Company hereunder, the Company agrees that during the term of this License Agreement it shall not, without the prior written consent of Licensor, enter into a license agreement, distribution agreement or any other agreement or relationship with any other Person for the use of such Person’s processes, know how, techniques and procedures which would in any way conflict with, substitute, displace or impede the Business within the Territory.
