COMMITMENT AND. STRUCTURING FEES. Borrower will have paid in full the commitment and structuring fees payable by it pursuant to the letter agreement dated July 28, 1997 among Borrower, PWH, TDI, Vanguard and any other Person which has become a party thereto.
