Commercialization Records. Without limitation of Section 4.10, Licensee shall maintain complete and accurate books and records pertaining to Commercialization of Licensed Products hereunder, in sufficient detail to verify compliance with its obligations under this Agreement, which shall be in compliance with Applicable Law. Such records shall be retained by Licensee for such period as may be required by Applicable Law. In the event of a dispute with respect to Licensee’s performance of its Commercialization obligations set forth in Section 3.5.1, MedImmune shall have the right, during normal business hours and upon reasonable notice, to inspect and copy all such books and records with respect to *** CERTAIN CONFIDENTIAL INFORMATION CONTAINED IN THIS DOCUMENT, MARKED BY [***], HAS BEEN OMITTED AND FILED SEPARATELY WITH THE SECURITIES AND EXCHANGE COMMISSION PURSUANT TO RULE 24B-2 OF THE SECURITIES EXCHANGE ACT OF 1934, AS AMENDED. such dispute maintained pursuant to this Section 3.5.3; provided that MedImmune shall maintain such records and information disclosed therein in accordance with Article 6.
