Commencement and Application. 2.1 This agreement shall commence upon the date that these terms are received by Instructing Party and shall continue, unless terminated in accordance with clause 11 (Termination), until conclusion of the Services, when it shall terminate automatically. 2.2 These terms shall apply to govern the agreement to the exclusion of any other terms, including any terms of the Instructing Party over which, these terms shall prevail. They are the only basis upon which the Expert shall accept Instructions. 2.3 These terms shall be deemed to be accepted by the Instructing Party upon their receipt (electronically by a PDF or by a hyperlink or by post) and do not require a signature. In the event that the Instructing Party has already provided Instructions, these terms shall apply notwithstanding any contrary terms included in the Instructions. 2.4 In addition to these terms, the scope and purpose of the Services and of the Report shall be as defined in the Instructions provided by the Instructing Party. The Instructions shall form part of this Agreement.
