Collections and Servicing. Since the Closing Date, there has been no material adverse change in the ability of UAC, as Collection Agent hereunder, to service and collect the Receivables. Any document, instrument, certificate or notice delivered by the Collection Agent to the Collateral Agent, the Secured Parties hereunder shall be deemed a representation and warranty by the Collection Agent.
