Common use of Collection Suit by Trustee Clause in Contracts

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(1) or (a)(2) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company for the whole amount of principal of, premium, Additional Amounts, if any, and interest remaining unpaid on, the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a) or (a)(2b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuers and the Guarantors for the whole amount of principal of, premium, interest and Additional AmountsInterest, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.l(a) or (a)(2b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company for the whole amount of principal of, premium, premium and Additional AmountsInterest, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and Additional Interest, if any, and such further amount amounts as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expensesexpense, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(a)(16.01(a)(i) or (a)(2a)(ii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company for (i) the whole amount of principal ofprincipal, premium, Additional Amounts, if any, and interest remaining unpaid onon the Notes, the Notes and (ii) interest on overdue principal and premium, if any any, and, to the extent lawful, interest interest, and (iii) such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counselcounsel (“Trustee Expenses”).

If an Event of Default specified in Section 6.01(a)(1clause (1) or (a)(22) hereof of the first paragraph of Section 6.01 occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Company for the whole amount of principal ofprincipal, premium, Additional Amounts, if any, and accrued interest remaining unpaid on, the Notes and (together with interest on any overdue principal and premium, if any and, interest (to the extent lawful, interest permitted by applicable law) at the rate per annum specified in the last paragraph of Section 4.01) and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(a)(1) or (a)(2) hereof occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Company Issuer for the whole amount of principal ofunpaid principal, premium, Additional Amounts, if any, premium and accrued interest remaining unpaid onunpaid, together with, to the Notes and extent that payment of such interest is lawful, interest on overdue principal and premiuminterest on overdue installments of interest, if any andin each case at the rate set forth in Section 4.01 hereof, to the extent lawful, interest and such further amount amounts as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(a)(16.1(a) or (a)(2b) hereof occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Company or any other obligor on the Notes for the whole amount of principal of, premium, Additional Amounts, if any, and accrued interest remaining unpaid onunpaid, the Notes and together with interest overdue on overdue principal and premium, if any and, to the extent that payment of such interest is lawful, interest on overdue installments of interest, in each case at the interest rate and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01 (i) or (a)(2ii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name on behalf of all the Holders of Notes and as trustee the fondé de pouvoir (holder of an express trust the power of attorney) against the Company for the whole amount of principal of, premium, Additional Amounts, if any, and interest remaining unpaid on, the Notes then due and owing (together with interest on overdue principal and premium, if any and, to the extent lawful, interest interest) and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a) or (a)(2b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuers and the Guarantors for the whole amount of principal of, premium, interest and Additional AmountsInterest, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, and the reasonable expenses, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(a)(17.01(c) or (a)(2d) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company and the Subsidiaries for the whole amount of principal Principal of, premium, Additional Amounts, if any, Redemption Price, Interest and interest any other amounts remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a) or (a)(2b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuers and the Guarantors for the whole amount of principal of, interest, premium, and Additional AmountsInterest, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(15.01(a) or (a)(2b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Company, and to enforce such judgment and collect the monies adjudicated or decreed to be payable, for the whole amount of principal of, premium, Additional Amounts, if any, of and interest remaining unpaid onon the Notes, the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a) or (a)(2b) hereof occurs and is continuingcontinuing with respect to the Securities of any Series at the time outstanding, the Trustee is authorized to recover judgment in its own name and as trustee Trustee of an express trust against the Company for the whole amount of principal of, premium, Additional Amounts, if any, and interest remaining unpaid on, the Notes such Securities and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(1) or (a)(22) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuer for the whole amount of principal of, premium, Additional Amounts, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, compensation of the Trustee and the reasonable and documented out-of-pocket expenses, disbursements and advances of the Trustee, its agents and counsel, in each case as set forth in Section 7.07 hereof.

If an Event of Default specified in Section 6.01(a)(1) or (a)(2) 5.01 hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company or any other obligor for the whole amount of principal ofprincipal, premium, Additional Amounts, if any, and interest remaining unpaid on, the Notes on any Securities of such series and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover amounts due the Trustee under Section 6.07 hereof, including the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default in payment of principal or interest specified in Section 6.01(a)(1clause (1) or (a)(22) hereof of Section 6.01(a) occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Company for the whole amount of principal of, premium, Additional Amounts, if any, and accrued interest remaining unpaid onunpaid, the Notes and together with interest on overdue principal and premium, if any and, to the extent lawful, interest overdue installments of interest, in each case at the rate specified in the Notes, and such further amount as shall be is sufficient to cover the costs and expenses of collection, including the compensation of the Trustee and reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.1(1) or (a)(22) hereof occurs and is continuing, without the possession of any of the Notes or the production thereof in any proceeding related thereto, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company for the whole amount of principal of, premium, Additional Amounts, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the reasonable costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the TrusteeTrustee (including without limitation any amounts due to the Trustee pursuant to Section 7.7), its agents and counsel.

If an Event of Default specified in Section 6.01(a)(16.01(a) or (a)(2b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company or any other obligor for the whole amount of principal ofprincipal, premium, Additional Amounts, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover amounts due the Trustee under Section 7.08, including the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(14.01(a) or (a)(2b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company or any other obligor for the whole amount of principal ofprincipal, premium, Additional Amounts, if any, and interest remaining unpaid on, on the Notes Securities and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover amounts due the Trustee under Section 5.07 hereof, including the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a) or (a)(2b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company for the whole amount of principal of, premium, premium and interest and Additional AmountsInterest, if any, and interest remaining unpaid on, on the Notes as to which such Event of Default has occurred and is continuing and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a) or (a)(2b) hereof occurs and is continuingcontinuing with respect to any series of Securities, the Trustee is authorized to recover judgment in its own name and as trustee Trustee of an express trust against the Company for the whole amount of principal of, premium, Additional Amounts, if any, and interest remaining unpaid on, the Notes on such Securities and interest on overdue principal and premium, if any and, to the extent lawful, interest at the rate provided for in such Securities and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(17.01(i) or (a)(2ii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Company, and to enforce such judgment and collect the moneys adjudicated or decreed to be payable, for the whole amount of principal of, premium, Additional Amounts, if any, of and interest remaining unpaid onon the Notes, the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(1) or (a)(22) hereof occurs and is continuing, without the possession of any of the Notes or the production thereof in any proceeding related thereto, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuer for the whole amount of principal of, premium, Additional Amounts, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counselcounsel (including without limitation any amounts due to the Trustee pursuant to Section 7.07).

If an Event of Default specified in Section 6.01(a)(1) or (a)(22) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuers for the whole amount of principal of, premium, Additional Amounts, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, compensation of the Trustee and the reasonable and documented out-of-pocket expenses, disbursements and advances of the Trustee, its agents and counsel, in each case as set forth in Section 7.06 hereof.

If an Event of Default with respect to the Securities of any series specified in Section 6.01(a)(1701(i) or (a)(2ii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company or any other obligor for the whole amount of principal ofprincipal, premium, Additional Amounts, if any, and interest remaining unpaid on, on the Notes Securities of such series and interest on overdue principal and premium, if any and, to the extent lawful, interest interest, premium and such further amount as shall be sufficient to cover the costs and expenses of collection, including the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(a)(1clause (1) or (a)(22) of Section 5.01 hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company and any Guarantor for the whole amount of principal of, and premium, Additional Amounts, if any, and interest remaining unpaid onon the Securities, the Notes and interest on overdue principal and premium, if any any, and, to the extent lawful, interest on overdue interest, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

If With respect to the Securities of any series, if an Event of Default specified in Section 6.01(a)(1clause (1) or (a)(22) of Section 501 hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company for the whole amount of principal of, premium, Additional Amountspremium on, if any, and interest remaining unpaid on, on the Notes Securities of that series and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(a)(16.01(a) or (a)(2b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company for the whole amount of principal of, premium, Additional Amountspremium on, if any, and interest interest, if any, remaining unpaid on, the Notes Securities of such Series so affected and interest on overdue principal and premiumprincipal, if any any, and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the compensation and reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(17.01(1) or (a)(22) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company and the Guarantors for the whole amount of principal and Aggregate Accreted Principal Amount, of, premium, Additional Amounts, if any, premium and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any Aggregate Accreted Principal Amount and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.1(i) or (a)(2ii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company or any other obligor for the whole amount of principal ofprincipal, premium, Additional Amounts, if any, and interest remaining unpaid on, on the Notes Securities and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover amounts due the Trustee under Section 7.7 hereof, including the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(1) or (a)(22) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee Trustee of an express trust against the Company for the whole amount of principal of, premium, Additional Amounts, if any, and interest (including Special Interest, if any) remaining unpaid on, the Notes and interest (including Special Interest, if any) on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a), (b) or (a)(2d) hereof occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Company for the whole amount of principal of, premium, Additional Amountsand interest and Liquidated Damages, if any, and interest remaining unpaid on, on the Convertible Subordinated Notes and interest on overdue principal and premiuminterest and Liquidated Damages, if any andany, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and and, to the extent lawful, expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.1(a) or (a)(26.1(b) hereof occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Company for the whole amount of principal of, premium, Additional AmountsPrincipal or repurchase price, if any, of and interest remaining unpaid on, accrued on the Notes and interest on overdue principal and premiumPrincipal or repurchase price, if any andany, to of and accrued interest on the extent lawful, interest Notes and for such further amount as shall be sufficient to cover the costs and and, to the extent lawful, expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and its counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(1) or (a)(22) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuers or any other obligor for the whole amount of principal ofprincipal, premium, Additional Amounts, if any, and interest and Liquidated Damages, if any, remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and Liquidated Damages, if any, and such further amount as shall be sufficient to cover amounts due the Trustee under Section 7.08, including the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(1) or (a)(2Section 6.01(a)(2) hereof occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Company Partnership and any other obligor on the Notes of each series for the whole amount of principal ofprincipal, premium, Additional Amounts, if any, and interest remaining unpaid onon such Notes, the Notes and together with interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, Trustee and its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.1(a) or (a)(2b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company for the whole amount of principal ofprincipal, premium, Additional Amounts, if any, and interest remaining unpaid onon the Securities, the Notes determined in accordance with Section 6.2 hereof and interest on overdue principal and principal, premium, if any any, and, to the extent lawful, interest interest, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents Trustee and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a) or (a)(2b) hereof in respect of a series of Securities occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuers and the Guarantors for the whole amount of principal of, premium, Additional Amounts, if any, and interest then due and remaining unpaid on, on the Notes Securities of such series and interest on overdue principal and premium, if any and, to the extent lawful, interest interest, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.1(i) or (a)(2ii) hereof occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Company or any other obligor on the Securities for the whole amount of principal of, premium, Additional Amounts, if any, and accrued interest remaining unpaid onunpaid, the Notes and together with interest overdue on overdue principal and premium, if any and, to the extent that payment of such interest is lawful, interest on overdue installments of interest, in each case at the interest rate and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(i) or (a)(2ii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company or Subsidiary Guarantors for the whole amount of principal of, premium, if any, and Additional AmountsInterest, if any, and interest remaining unpaid on, on the Notes and Subsidiary Guarantees and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(i) or (a)(2ii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name on behalf of all the Holders of Notes and as trustee the fondé de pouvoir (holder of an express trust the power of attorney) against the Company for the whole amount of principal of, premium, Additional Amounts, if any, and interest remaining unpaid on, the Notes then due and owing (together with interest on overdue principal and premium, if any and, to the extent lawful, interest interest) and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(i) or (a)(2ii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company for the whole amount of principal of, premium, Additional Amountsif any, interest, and Liquidated Damages, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any any, and, to the extent lawful, interest and Liquidated Damages, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a)(i) or (a)(2ii) hereof occurs and is continuingcontinuing with respect to either series of Notes, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuer for the whole amount of principal of, premium, Additional Amounts, if any, and interest remaining unpaid on, the Notes of such series and interest on overdue principal and premiumon such series, if any applicable, and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a)(i) or (a)(2ii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company for (i) the whole amount of principal ofprincipal, premium, Additional Amounts, if any, premium and interest remaining unpaid onon the Senior Notes, the Notes and (ii) interest on overdue principal and premium, if any any, and, to the extent lawful, interest interest, and (iii) such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counselcounsel ("Trustee Expenses").

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(1clause (1) or (a)(22) of Section 6.01 hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company or a Guarantor for the whole amount of principal ofprincipal, premium, interest and Additional Amounts, if any, and interest remaining unpaid onon the Notes, the Notes and interest on overdue principal and premium, if any any, and, to the extent lawful, interest on overdue interest, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the compensation and reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(i)or (ii) or (a)(2) hereof occurs and is continuing, the Trustee is authorized to recover a judgment in its own name and as trustee of an express trust against the Company Issuers for the whole amount of principal of, premium, premium and interest (including Additional AmountsInterest, if any, and interest ) remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest (including Additional Interest, if any) and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(1) or (a)(22) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuers for the whole amount of principal of, premium, Additional Amounts, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, compensation of the Trustee and the reasonable and documented out-of-pocket expenses, disbursements and advances of the Trustee, its agents and counsel, in each case as set forth in Section 7.07 hereof.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a)(i) or (a)(2ii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuers for the whole amount of principal of, premium, if any, Additional AmountsInterest, if any, and interest remaining unpaid on, the Notes and interest on overdue principal and premiumprincipal, if any applicable, and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(1) or (a)(2) 5.01 hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company or any other obligor for the whole amount of principal of, (and premium, Additional Amountsif any) and interest, if any, and interest remaining unpaid on, the Notes on any Securities of such series and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover amounts due the Trustee under Section 6.07 hereof, including the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(1) or (a)(22) hereof occurs with respect to either series of the Notes and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuers for the whole amount of principal of, premium, Additional Amountspremium and Liquidated Damages, if any, and interest remaining unpaid on, the Notes of such series and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a) or (a)(2b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company for the whole amount of principal of, premium, Additional Amountsif any, on, and interest and Special Interest, if any, and interest remaining unpaid on, the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and Special Interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(14.01(a) or (a)(2b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company or any other obligor for the whole amount of principal ofprincipal, premium, Additional Amounts, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover amounts due the Trustee under Section 5.07 hereof, including the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a)(i) or (a)(2Section 6.01(a)(ii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuer for the whole amount of principal of, premiumpremium on, if any, interest and Additional Amounts, if any, and interest remaining unpaid on, the Notes and interest on overdue principal and premium, if any and, to the extent lawful, Additional Amounts, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a)(i) or (a)(26.01(a)(ii) hereof occurs and is continuingcontinuing with respect to the Notes, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuers for the whole amount of principal of, premium, Additional Amountsif any, interest, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any any, and, to the extent lawful, interest interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(1clause (1) or (a)(22) of Section 5.01 hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company and any Guarantor for the whole amount of principal of, and premium, Additional Amounts, if any, and interest remaining unpaid onon any series of Securities, the Notes and interest on overdue principal and premium, if any any, and, to the extent lawful, interest on overdue interest, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a)(1)or (2) or (a)(2) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuer and any other obligor on the Notes for the whole amount of principal of, premium, Additional Amounts, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, compensation of the Trustee and the reasonable and documented out-of-pocket expenses, disbursements and advances of the Trustee, its agents and counsel, in each case as set forth in Section 7.07.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(1) or (a)(22) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuer for the whole amount of principal of, premium, Additional Amounts, if any, of and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, compensation of the Trustee and the Notes Collateral Agent and the reasonable and documented out-of-pocket expenses, disbursements and advances of the TrusteeTrustee and the Notes Collateral Agent, its their respective agents and counsel, in each case as set forth in Section 7.07.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(1clause (1) or (a)(22) hereof of Section 6.01 occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Company or any other obligor on the Notes for the whole amount of principal ofdue and payable on such Notes for principal, premium, Additional Amounts, if any, and interest remaining unpaid on, the Notes and interest on overdue principal and premium, if any and, to the extent that payment of such interest is lawful, interest on overdue principal, at the rate per annum specified in the Notes, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(1) or (a)(2) hereof occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Company for the whole amount of principal ofunpaid principal, premium, Additional Amountsmake-whole amount, if any, and accrued interest remaining unpaid onunpaid, together with, to the Notes and extent that payment of such interest is lawful, interest on overdue principal and premiuminterest on overdue installments of interest, if any andin each case at the rate set forth in Section 4.01 hereof, to the extent lawful, interest and such further amount amounts as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.1(a) or (a)(2b) hereof occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Company or any other obligor on the Securities for the whole amount of principal of, premium, Additional Amounts, if any, and accrued interest remaining unpaid onunpaid, the Notes and together with interest overdue on overdue principal and premium, if any and, to the extent that payment of such interest is lawful, interest on overdue installments of interest, in each case at the Interest Rate and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(1) or (a)(22) hereof with respect to any series of Securities occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuers for the whole amount of principal of, premium, if any, Additional Amounts, if any, and interest remaining unpaid on, the Notes on such Securities and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a) or (a)(2b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Company, the Parent Guarantor or any Subsidiary Guarantor for the whole amount of principal of, premium, Additional Amountspremium and Liquidated Damages, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall will be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(1) or (a)(22) hereof occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Company and any other obligor on the Notes, including the Guarantors, for the whole amount of principal of, premium, Additional Amountsif any, and interest, if any, and interest remaining unpaid onon the Notes, the Notes and interest together with interest, if any, on overdue principal and premium, if any and, to the extent lawful, interest interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, Trustee and its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a)(i) or (a)(2ii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuers for the whole amount of principal of, premium, Additional Amounts, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, compensation of the Trustee and the reasonable and documented out-of-pocket expenses, disbursements and advances of the Trustee, its agents and counsel, in each case as set forth in Section 7.07 hereof.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(1) or (a)(22) hereof occurs and is continuing, without the possession of any of the Notes or the production thereof in any proceeding related thereto, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuers for the whole amount of principal of, premium, Additional Amounts, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counselcounsel (including without limitation any amounts due to the Trustee pursuant to Section 7.07).

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a) or (a)(2b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company for the whole amount of principal of, interest, premium, Additional Amounts, if any, and interest Liquidated Damages, if any, remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and Liquidated Damages, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(a)(1) or (a)(22) hereof occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Company and any other obligor on the Notes, including the Guarantors, for the whole amount of principal of, premium, Additional Amountsif any, and interest, if any, and interest remaining unpaid onon the Notes, the Notes and interest together with interest, if any, on overdue principal and premium, if any and, to the extent lawful, interest interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, Trustee and its agents and counsel.. Section 6.09

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a)(i) or (a)(2Section 6.01(a)(ii) hereof occurs and is continuingcontinuing with respect to a Series of Securities, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company for the whole amount of principal of, premium, Additional Amounts, if any, and interest remaining unpaid on, on the Notes Securities of such Series and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(14.01(i) or (a)(2ii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company or any other obligor for the whole amount of principal ofprincipal, premium, Additional Amounts, if any, and interest remaining unpaid on, on the Notes Securities and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover amounts due the Trustee under Section 5.07 hereof, including the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(15.02(a) or (a)(2b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Company, and to enforce such judgment and collect the monies adjudicated or decreed to be payable, for the whole amount of principal of, premium, Additional Amounts, if any, of and interest remaining unpaid onon the Notes, the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a) or (a)(2b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company for the whole amount of principal of, premium, Additional Amountspremium and Liquidated Damages, if any, and interest remaining unpaid on, on the Notes and interest and Liquidated Damages, if any, on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including including, without limitation, the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a)(l) or (a)(22) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer or the Company for the whole amount of principal of, premium, Additional Amountsif any, and Special Interest, if any, and interest remaining unpaid on, on the 2017 B Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a) or (a)(2b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company and the Guarantors for the whole amount of principal of, interest, premium, if any, and Additional Amounts, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and Additional Amounts, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a) or (a)(2b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company for the whole amount of principal of, premium, interest and Additional AmountsInterest, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and Additional Interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If Subject to the Collateral Agency Agreement and the Intercreditor Agreement, if an Event of Default specified in Section 6.01(a)(16.01(a) or (a)(2b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuers and the Guarantors for the whole amount of principal of, premium, Additional Amounts, if any, premium and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(1) or (a)(22) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company or any other obligor for the whole amount of principal of(including any PIK Interest), premium, Additional Amounts, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover amounts due the Trustee under Section 7.08, including the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.l(a) or (a)(2b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company for the whole amount of principal of, premium, premium and Additional AmountsInterest, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and Additional Interest, if any, and such further amount amounts as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expensesexpense, disbursements and advances of the Trustee, its each Agent and their respective agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a) or (a)(2b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company or any other obligor for the whole amount of principal ofprincipal, premium, Additional Amounts, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest interest, and such further amount as shall be sufficient to cover amounts due the Trustee under Section 7.08, including the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default with respect to the Securities of any series specified in Section 6.01(a)(17.01(i) or (a)(2ii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company or any other obligor for the whole amount of principal ofprincipal, premium, Additional Amounts, if any, and interest remaining unpaid on, on the Notes Securities of such series and interest on overdue principal and premium, if any and, to the extent lawful, interest interest, premium and such further amount as shall be sufficient to cover the costs and expenses of collection, including the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a) or (a)(2Section 6.01(b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuer for the whole amount of principal of, premiumpremium on, if any, interest and Additional Amounts, if any, and interest remaining unpaid on, the Notes and interest on overdue principal and premium, if any and, to the extent lawful, Additional Amounts, interest and such further amount as shall will be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(1) or (a)(2) hereof occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Company for the whole amount of principal ofunpaid principal, premium, Additional Amounts, if any, and accrued interest remaining unpaid onunpaid, together with, to the Notes and extent that payment of such interest is lawful, interest on overdue principal and premiuminterest on overdue installments of interest, if any andin each case at the rate set forth in Section 4.01 hereof, to the extent lawful, interest and such further amount amounts as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.1(a), (b) or (a)(2c) hereof with respect to Securities of any Series occurs and is continuing, the Trustee for such Securities is authorized to recover judgment in its own name and as trustee of an express trust against the Company for the whole amount of principal of, premium, Additional Amounts, if any, and interest remaining unpaid on, the Notes such Securities and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the such Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(1clause (1) or (a)(22) hereof of Section 6.01 occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuers for the whole amount of principal ofthe principal, premium, Additional Amounts, if any, or interest and interest Liquidated Damages, if any, remaining unpaid on, on the Notes and interest on overdue principal and premium, if any andany, and to the extent lawful, interest and Liquidated Damages, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(17.01(a) or (a)(2b) hereof occurs and is continuingcontinuing and is known to the Trustee, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuers and the Guarantors for the whole amount of principal of, premium, Additional Amounts, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, premium, if any, and interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(1) or (a)(22) hereof with respect to any series of Notes occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuers for the whole amount of principal of, premium, if any, Additional AmountsInterest, if any, and interest remaining unpaid on, the on such Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a) or (a)(2b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company for the whole amount of principal of, premiumLiquidated Damages, Additional Amountsif any, or other premiums, if any, and interest remaining unpaid on, on the Senior Subordinated Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and along with such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(16.01(a) or (a)(2Section 6.01(b) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuer for the whole amount of principal of, premium, Additional Amountspremium on, if any, and interest interest, if any, remaining unpaid on, the Notes and interest on overdue principal and premium, if any and, to the extent lawful, Additional Amounts, interest and such further amount as shall will be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(1clause (1) or (a)(22) of Section 7.01 hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company or a Guarantor for the whole amount of principal ofprincipal, premium, Additional Amountspremium and interest, if any, and interest remaining unpaid onon the Notes, the Notes and interest on overdue principal and premium, if any any, and, to the extent lawful, interest on overdue interest, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(1) or (a)(22) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuers for the whole amount of principal of, premium, Additional Amounts, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, compensation of the Trustee and the reasonable and documented out-of- pocket expenses, disbursements and advances of the Trustee, its agents and counsel, in each case as set forth in Section 7.07 hereof.

If an Event of Default specified in Section 6.01(a)(1) or (a)(22) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Company Issuers for the whole amount of principal of, premium, Additional Amounts, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal and premium, if any and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, compensation of the Trustee and the reasonable and documented out-of-pocket 104 expenses, disbursements and advances of the Trustee, its agents and counsel, in each case as set forth in Section 7.07 hereof.
