Common use of Collection Suit by Trustee Clause in Contracts

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i) or (ii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer for the whole amount of principal of, premium, if any, and interest remaining unpaid on, the Notes and interest on overdue principal, if applicable, and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(i) or (ii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal of, premiumpremium and Liquidated Damages, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a) or (iib) hereof occurs and is continuingcontinuing with respect to any series of Securities, the Trustee is authorized to recover judgment in its own name and as trustee Trustee of an express trust against the Issuer Company for the whole amount of principal of, premium, if any, and interest remaining unpaid on, the Notes on such Securities and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(a)(i5.01(i) or (ii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company or any other obligor for the whole amount of principal ofprincipal, premium, if any, and interest remaining unpaid on, on the Notes Securities and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover amounts due the Trustee under Section 6.07 hereof, including the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(a)(i6.01(1) or (ii2) hereof occurs and is continuing, without the possession of any of the Notes or the production thereof in any proceeding related thereto, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal of, premiumpremium on, if any, and interest interest, if any, remaining unpaid on, on the Notes and interest on overdue principal, if applicable, and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the TrusteeTrustee (including without limitation any amounts due to the Trustee pursuant to Section 7.07 hereof), its agents and counsel.

If an Event of Default specified in Section 6.01(a)(i6.01(a) or (iib) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal of, premium, if any, on, and interest interest, if any, remaining unpaid on, the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest interest, if any, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a) or (iib) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Issuers or any Guarantor for the whole amount of principal of, premium, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a) or (iib) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal of, premium, if any, and interest remaining unpaid on, on the Notes and interest interest, if any, on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including including, without limitation, the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a) or (iib) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal of, premiumpremium and Liquidated Damages, if any, and interest remaining unpaid on, on the Senior Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel, and any other amounts due the Trustee under Section 7.07 hereof.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a) or (iib) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Issuers and the Guarantors for the whole amount of principal of, premium, if any, and interest unpaid interest, if any, remaining unpaid on, on the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, and the reasonable expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a) or (iib) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal of, premium, if any, and interest and Special Interest, if any, remaining unpaid on, on the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a)(1) or (iiSection 6.01(a)(2) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Partnership for the whole amount of principal of, premiumpremium on, if any, and interest interest, if any, remaining unpaid on, on the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(1) or (iiSection 6.01(2) hereof above occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of overdue principal of, premium, if any, and interest remaining unpaid on, on the Notes and interest on overdue principalprincipal and premium, if applicableany, and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counselcounsel and any other amounts provided for in Section 7.07.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i8.01(a) or (iib) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal of, premium, if any, and Additional Interest, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a) or (iib) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Issuers and the Guarantors for the whole amount of principal of, and interest and premium, if any, and interest any remaining unpaid on, on the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest interest, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, and the reasonable expenses, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(a)(i6.01(a)(1) or (ii2) hereof occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Issuer Company, the Guarantors and any other obligor on the Notes for the whole amount of principal ofprincipal, premium, if any, and interest remaining unpaid onon the Notes, the Notes and together with interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, Trustee and its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a) or (iiSection 6.01(b) hereof occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal of, of and premium, if any, and interest remaining unpaid onto but not including the date of payment on the Notes, the Notes and together with interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its the Collateral Agent and their agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a) or (iib) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal of, premiumpremium and Liquidated Damages, if any, and interest remaining unpaid on, on the Senior Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a)(1) or (ii2) hereof occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Issuer for the whole amount of principal of, premium, if any, and accrued and unpaid interest remaining unpaid onto, but not including, the Notes and date of payment on the Notes, together with interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, Trustee and its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(1) or (ii2) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee Trustee of an express trust against the Issuer Issuers for the whole amount of principal of, premiumpremium on, if any, and interest and Additional Interest, if any, remaining unpaid on, on the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default in payment of interest or principal specified in Section 6.01(a)(i6.1(1) or (ii2) hereof occurs and is continuing, subject to Sections 6.2 and 6.4 the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal of, and premium, interest and Liquidated Damages, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal, if applicable, and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i) or (iia)(ii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal ofprincipal, premium, if any, and interest interest, if any, remaining unpaid on, the Notes on any Securities and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(1) or (ii2) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal of, premium, if any, and interest and Special Interest, if any, remaining unpaid on, the Notes of the applicable series and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including without limitation the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a)(1) or (ii2) hereof occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Issuer Issuer, the Guarantors and any other obligor on the Notes for the whole amount of principal ofprincipal, premium, if any, and interest remaining unpaid onon the Notes, the Notes and together with interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, Trustee and its agents and counsel.

If an Event of Default specified in Section 6.01(a)(i6.01 (i) or (ii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal of, premium, if any, and interest remaining unpaid onand Special Interest, the Notes if any, then due and owing (together with interest on overdue principal, if applicable, principal and, to the extent lawful, interest interest) and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a) or (iib) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal of, premium, if any, interest and interest Liquidated Damages, if any, remaining unpaid on, on the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(a)(i6.01(i) or (ii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal of, premium, if any, and Liquidated Damages, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the reasonable costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a) or (iib) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company or any Guarantor for the whole amount of principal of, premium, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel, and any other amounts due to the Trustee under Section 7.07 hereof.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(iclauses (a)(1) or (ii2) hereof of Section 6.01 occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal of, premium, if any, and interest and Additional Interest, if any, remaining unpaid on, on the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a)(1) or (ii2) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company, upon demand of the Trustee, for the whole amount of principal of, premium, if any, and any premium and interest remaining unpaid on, the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(1) or (ii2) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer for the whole amount of principal of, premiumpremium on, if any, and interest and Additional Amounts, if any, remaining unpaid on, on the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its the Collateral Agent and each of their respective agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.l(1) or (ii2) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer for the whole amount of principal ofprincipal, premiumpremium and Additional Interest, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and Additional Interest, if any, and such further amount amounts as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expensesexpense, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a)(1) or (ii2) hereof occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Issuer Company and any other obligor on the Notes for the whole amount of principal of, premium, if any, and interest interest, if any, remaining unpaid onon the Notes, the Notes and together with interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, Trustee and its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i7.01(1) or (ii2) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal ofprincipal, premium, if any, and interest remaining unpaid onon the Notes, the Notes determined in accordance with Section 7.02, and interest on overdue principal, if applicable, principal and, to the extent lawful, interest premium, if any, and interest, and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(1) or (ii2) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal of, premiumpremium on, if any, interest and interest Additional Interest, if any, remaining unpaid on, the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(a)(i) or (iia)(ii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal ofprincipal, premium, if any, and interest interest, including Special Interest, if any, remaining unpaid on, on the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(a)(iclause (1) or (ii2) of Section 5.01 hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal of, and premium, if any, and interest remaining unpaid onon the Securities, the Notes and interest on overdue principal, premium, if applicable, andany, to the extent lawful, interest on overdue interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a) or (iib) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against either of the Issuer Issuers for the whole amount of principal of, premiumpremium and Liquidated Damages, if any, and interest Interest remaining unpaid on, on the Notes and interest Interest on overdue principal, if applicable, principal and, to the extent lawful, interest Interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a) or (iib) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company and the Guarantors for the whole amount of principal of, premiumpremium on and Additional Interest, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

If an Event of Default specified in Section 6.01(a)(i6.01(a)(1) or (ii2) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer for the whole amount of principal of, premium, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, compensation of the Trustee and the reasonable and documented out-of-pocket expenses, disbursements and advances of the Trustee, its agents and counsel, in each case as set forth in Section 7.07.

If an Event of Default specified in Section 6.01(a)(i6.01(a) or (iib) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal of, premiumpremiums, if any, and interest or Liquidated Damages, if any, remaining unpaid on, on the Subordinated Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a)(1) or (ii2) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer or the Company for the whole amount of principal of, premium, if any, and Special Interest, if any, and interest remaining unpaid on, on the 2017 A Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a) or (iib) hereof above occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of overdue principal of, premium, if any, and interest remaining unpaid on, on the Notes and interest on overdue principalprincipal and premium, if applicableany, and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a)(1) or (ii2) hereof with respect to the Secured Notes occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Issuers for the whole amount of principal of, premium, if any, and interest remaining unpaid on, on the Secured Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.l(1) or (ii2) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal of, premiumpremium and Additional Interest, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and Additional Interest, if any, and such further amount amounts as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expensesexpense, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a) or (iib) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal of, premiumpremium on, if any, and interest and Additional Interest, if any, remaining unpaid on, on the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a) or (iib) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal of, premiumpremium and Liquidated Damages, if any, and interest Interest remaining unpaid on, on the Notes and interest Interest on overdue principal, if applicable, principal and, to the extent lawful, interest Interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.1(a)(i) or (ii6.1(a)(ii) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer DIMAC Holdings for the whole amount of principal of, premium, if any, and interest remaining unpaid on, on the Notes and interest on overdue principalprincipal (and premium, if applicable, any) and, to the extent lawful, interest or overdue interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.1(1) or (ii2) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the any Issuer or any Guarantor for the whole amount of principal ofprincipal, premium, if any, and interest and Liquidated Damages, if any, remaining unpaid on, on the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(1) or (ii2) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Issuers for the whole amount of principal of, premiumpremium on, if any, interest and interest Special Interest, if any, remaining unpaid on, the Notes and interest on overdue principal, if applicable, and, to the extent lawful, interest on overdue principal and interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.1(a) or (iib) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal of, premium, if any, on, interest and interest Special Interest, if any, remaining unpaid on, the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel, and any other amounts due to the Trustee under Section 7.7.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a) or (iib) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company, the Parent Guarantor or any Subsidiary Guarantor for the whole amount of principal of, premium, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i) or (ii) hereof occurs and is continuing, the Trustee is authorized to may recover judgment in its own name and as trustee of an express trust against the Issuer and any other obligor on the Notes for the whole amount of principal of, premium, if any, and interest interest, if any, remaining unpaid onon the Notes, the Notes and together with interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, Trustee and its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a) or (iib) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal of, premiumpremium on and Additional Interest, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(1) or (ii2) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Issuers or the Guarantors for the whole amount of principal of, premiumpremium on, if any, and interest interest, if any, remaining unpaid on, the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counselcounsel (including without limitation any amounts due to the Trustee pursuant to Section 7.07).

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.1(i) or (ii) hereof occurs and is continuingcontinuing with respect to a series of Securities, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer for the whole amount of principal of, premium, if any, and interest remaining unpaid on, the Notes on such Securities and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(1) or (ii2) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer for the whole amount of principal of, premium(including the Fundamental Change Purchase Price, if anyapplicable) of, and interest remaining unpaid on, the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a) or (iib) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer or the Note Guarantor for the whole amount of principal of, premium, if any, and interest remaining unpaid on, on the Notes and interest on overdue principalprincipal (and premium, if applicable, any) and, to the extent lawful, interest on overdue interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a) or (iib) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company or any Guarantor for the whole amount of principal of, and premium, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal, if applicable, and, to the extent lawful, interest on overdue principal and interest as provided in Section 4.01 and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel.

Collection Suit by Trustee. If an Event of Default specified in Section 6.01(a)(i6.01(a) or (iib) hereof occurs and is continuing, the Trustee is authorized to recover judgment in its own name and as trustee of an express trust against the Issuer Company for the whole amount of principal amount of, premiumpremium and Additional Interest, if any, and interest remaining unpaid on, on the Notes and interest on overdue principal, if applicable, principal and, to the extent lawful, interest and such further amount as shall be sufficient to cover the costs and expenses of collection, including the reasonable compensation, expenses, disbursements and advances of the Trustee, its agents and counsel, and any amounts due the Trustee under Section 7.07.
