Common use of Collection Cooperation Clause in Contracts

Collection Cooperation. With respect to a Respective Seller’s rights to collect certain funds after the Closing directly from Tenants, Respective Seller shall continue to have the right, in its own name, to demand payment of and to collect such amounts owed to Respective Seller by any Tenant, which right shall include, without limitation, the right to continue or commence legal actions or proceedings against any Tenant; provided, however, that in no event may Respective Seller pursue any action that would result in eviction of a Tenant or termination of a Tenant’s Lease. Delivery of the Tenant’s Lease to Buyer at Closing shall not constitute a waiver by Respective Seller of such right. Buyer agrees to reasonably cooperate with each Respective Seller in connection with all efforts by Respective Seller to collect such amounts, provided that Buyer shall not be required to join into (and Seller shall not name Buyer in) any lawsuit or proceeding, and provided that Respective Seller shall be required to reimburse Buyer for all reasonable expenses incurred by Buyer in connection therewith.
