Each loan or debt obligation sold and/or contributed by the Collateral Manager to the Borrower on or before the Original Closing Date, as of the Restatement Effective Date and as of each Purchase Date (as defined in the Master Transfer Agreement) complies with the criteria set forth in the definition of "Collateral Obligation".
