CNG OPTIONS Sample Clauses

CNG OPTIONS. CNG and CMS shall use their reasonable efforts to permit CMS or Surviving Corporation to exchange shares of CMS Common Stock for Options, consistent with the provisions of the Merger Agreement (whether or not vested or exercisable), in satisfaction of such Option holders' rights under that certain CNG 1997 Stock Plan; including, but not limited to, CNG seeking the consent of all Option holders under the 1997 Plan to the receipt of CMS Common Stock, consistent with the provisions of the Merger Agreement, in lieu of cash as provided for in the 1997 Plan.
