CLOSINGS; DELIVERIES AT CLOSING. (a) The closing of the transactions contemplated by Section 2.1 hereof (the "CLOSING") shall take place at the offices of Xxxx, Weiss, Rifkind, Xxxxxxx & Xxxxxxxx, at 10:00 a.m., local time, immediately prior to the Effective Time (as defined in the Merger Agreement) of the Merger, or at such other time, place and date that the Company and the Contributing Shareholder may agree in writing (the "CLOSING DATE").
