CLOSING DELIVERIES OF THE SHAREHOLDER. At the Closing, the Shareholder shall deliver to HSNS: (a) stock certificates representing the May Shares, duly endorsed in blank or accompanied by appropriate stock powers duly endorsed in blank and (b) all closing certificates and other documents required to be delivered by the Shareholder or May to HSNS at the Closing under the provisions of this Agreement.
