Common use of Closing Dates Delivery Clause in Contracts

Closing Dates Delivery. (a) Within 30 days following the satisfaction of the conditions set forth in Section 4.3 below, the closing of the purchase and sale of Shares hereunder as set forth in Section 1.1(c) above (the "EU Milestone Closing") shall be held at the offices of Schering-Plough Corporation (or such other place as the parties shall mutually agree) at such time as the parties shall mutually agree (the date of the EU Milestone Closing is referred to herein as the "EU Milestone Closing Date"). At the EU Milestone Closing, the Company shall deliver to Schering a certificate or certificates, registered in Schering's name, representing the Shares purchased at the EU Milestone Closing, and Schering shall pay the total consideration for such Shares by wire transfer in immediately available funds to an account designated by the Company.
