Common use of Closing Date Working Capital Calculation Clause in Contracts

Closing Date Working Capital Calculation. The Company shall have provided Parent a draft of the Closing Date Working Capital Calculation at least three business days prior to the Closing Date and shall have provided Parent the actual Closing Date Working Capital Calculation on the Closing Date (which shall not show discrepancies of more than 1% as compared to the draft Closing Date Working Capital Calculation), in each case certified by the Chief Financial Officer and Chief Executive Officer of the Company as being true, complete and correct in all material respects.
