Closing Date; Settlement Date. The closing of the transactions ----------------------------- contemplated by this Amendment is to be held on June 26, 1996 (the "Closing Date"). The transactions contemplated by this Amendment including, but not limited to, the amendments set forth in Section 1 hereof shall only become effective on the Closing Date provided that all the conditions set forth in Section 10 hereof are fully satisfied or waived as described in Section 10 of this Amendment. On July 9, 1996 (the "Settlement Date") CNTO shall deliver to Lilly a certificate or certificates representing the Shares to be issued to Lilly pursuant to the provisions of Section 5 of this Amendment.
