Closing Date and Place of Closing. The closing of the purchase and sale of the Shares hereunder (the "Closing") in the amounts and to the persons specified in the Schedule of Purchasers shall be held simultaneously with the execution and delivery of this Agreement at the offices of Reid & Priest LLP, 40 West 57th Street, New York, New York, at 10:00 a.m. ▇▇stern Standard ▇▇▇▇ ▇▇ ▇▇▇ ▇▇▇▇ ▇▇▇▇▇▇ (▇▇▇ "▇▇▇▇▇▇g Date") or at such other place and time as may be mutually agreed upon by the Company and the Purchasers.
