Close cooperation. 1. The parties herewith agree to cooperate closely. Namely the Buyer agrees to consult the Sellers in all matters relating the international expansion of the business of the Company, as long as the respective Seller is a Managing Director of the Company. 2. The parties agree, that all notices to third parties and all other publicity concerning the transactions contemplated by this agreement shall be agreed between them before the initial release. This provision does not apply to announcements or filings necessary under applicable securities laws. The Buyer will inform the Sellers on all such announcements or filings by the way of providing a copy thereof.

One capital stage in integration was the elaboration of the vessel metrology file, the purpose of which is to keep records of the different sensors bearing mounting tolerances extracted from suppliers’ data sheets, and to keep records of the different sensor’s offsets measured from a reference location in the vessel. This is the only way to guarantee a proper collected data geolocation when conducting hydrographic surveys. This integration was formalised by interface documents describing equipment location and their interconnections. Close cooperation between the Parties in the conduct of the Project may require the disclosure by one party (“Disclosing Party”) to the other party (“Receiving Party”) of certain proprietary information (“Confidential Information”). Confidential Information means any and all inventions, discoveries, trade secrets, knowledge, know-how, practices, process or other information, machines, components, chemical formula(s), sample(s), or other tangible items, disclosed or submitted by Disclosing Party to the Receiving Party and clearly marked or identified as confidential. Information and/or data Receiving Party derives from Disclosing Party’s sample(s) shall also be the Confidential Information of Disclosing Party. In order to be protected, Confidential Information disclosed orally or in other non-tangible forms, must be (a) identified orally as confidential at the time of disclosure, and (b) summarized in writing and identified as confidential, and (c) such writing must be delivered to the Receiving Party by the Disclosing Party within thirty (30) days of the disclosure that the Disclosing Party deems confidential.
