Common use of Client’s Representations Clause in Contracts

Client’s Representations. Client represents, warrants and covenants to Consultant that each of the following are true and complete as of the date of this Agreement: A. Corporate Existence. Client is a corporation duly organized, validly existing, and in good standing under the laws of the state of its incorporation, with full corporate power and authority and all necessary governmental authorizations to own, lease and operate property and carry on its business as it is now being conducted. Client is duly qualified to do business in and is in good standing in every jurisdiction in which the nature of its business or the property owned or leased by it makes such qualifications necessary.
