Client’s Data Sample Clauses

The 'Client’s Data' clause defines the ownership, handling, and protection of any data provided by the client to the service provider during the course of their engagement. Client’s Data. Client shall own all right, title and interest in and to all Client Data and shall have sole responsibility for the legality, reliability, integrity, accuracy and quality of Client Data. Betty Blocks receives a limited license to Client Data for the purpose of providing the Services, including any and all future aspects thereof.
Client’s Data. 5.1 Client retains exclusive ownership of all data, information or material that Client receives from its customers in the course of using the Services (“Data”). ▇▇▇▇ is not granted any proprietary rights in such Data. As between the parties, Client will have sole responsibility for the accuracy, quality, integrity, legality, reliability, appropriateness, and intellectual property ownership of and right to use Client’s Data. ▇▇▇▇ will protect any Data that resides on ▇▇▇▇’s servers as Confidential Information in accordance with the confidentiality provisions hereof and with standards no less rigorous than ▇▇▇▇ uses to preserve its own confidential information. Client acknowledges that Client’s use of the Services may cause its Data to be transferred or stored outside of the country or other jurisdiction where Client and its customers are located. Client will comply with all applicable data protection and privacy laws and regulations with respect to such Data, which may include informing third parties of the use, processing, or transfer of their personal information in connection with this MSA and obtaining their consent to such use, processing, and transfer by Client and ▇▇▇▇ and any third parties who receive Data in accordance with this MSA. CLIENT ACKNOWLEDGES THAT ▇▇▇▇ WILL HAVE NO LIABILITY OR RESPONSIBILITY FOR THE CONTENT OF ANY DATA STORED, TRANSMITTED OR RECEIVED BY CLIENT IN CONNECTION WITH CLIENT’S USE OF THE SERVICE, AND THAT IT IS THE SOLE RESPONSIBILITY OF CLIENT TO ENSURE THAT THE DATA IT STORES, TRANSMITS OR RECEIVES (a) COMPLIES WITH ALL APPLICABLE LAWS AND REGULATIONS, (b) DOES NOT CONTAIN CONFIDENTIAL OR RESTRICTED DATA, AND (c) DOES NOT VIOLATE OR INFRINGE ANY INTELLECTUAL PROPERTY OR OTHER RIGHTS OF ANY THIRD PARTY. Client hereby grants ▇▇▇▇ a worldwide, royalty-free, sublicensable license: (i) to use, reproduce, distribute, disclose, display, perform, and create derivative works of the Data for the purpose of performing ▇▇▇▇’s obligations and exercising its rights under this MSA, and to improve and support ▇▇▇▇’s Services during the Term (and thereafter, solely to the extent reasonably required to perform its obligations under this MSA, which may include facilitating the return of Data), and (ii) to aggregate and to de-identify the Data (the resulting data, “Aggregated Data”) during the Term. Client’s Data. Upon termination of this Agreement and upon payment of all amounts due from Client under this Agreement, including the amount described in the following sentence, Shopperations will deliver to Client all of Client’s data stored on Shopperations’ servers in connection with Client’s use of the SaaS Services. Client shall pay Shopperations’ then-current standard rates for Shopperations’ work to format, prepare, and deliver Client’s data to Client.
Client’s Data. 6.1. Client’s identity
Client’s Data. DVFS shall use reasonable care in handling Client's data which is in DVFS's possession. DVFS's only obligation under this Section 4.2 is to maintain, in accordance with prudent standards of insurance record keeping, daily, weekly and monthly off-site backup copies of Client's computer data which is in DVFS's possession. DVFS shall have no liability for any loss or damage arising from Client's failure to maintain backup copies of all data delivered by Client or any of its personnel to DVFS.
Client’s Data. The Client shall retain sole ownership of all the Client’s Data. Pethealth shall have the sole and exclusive right to use the Client’s Data for the purpose of promoting, marketing and soliciting enrollment in Pethealth Inc. products and services, including, but not limited to, microchip, on-line adoptable pet promotion services and insurance products and services. In addition, the Client acknowledges that Pethealth may use the Client’s Data for the purpose of data aggregation to form summary statistics used in industry reports and other industry related data reporting initiatives. Aggregate data obtained from the Client’s operations used to form summary statistics will be combined with aggregate data obtained from other Application users and shall contain no information specifically identifying the Client or their operations. The Client agrees that such use by ▇▇▇▇▇▇▇▇▇ shall not constitute a breach of the confidentiality provisions of this Agreement.
