The Client Representatives clause designates specific individuals who are authorized to act on behalf of the client in matters related to the contract. Typically, this clause outlines the names or roles of these representatives and describes their authority to give instructions, approve work, or make decisions during the project. By clearly identifying who can communicate and make binding decisions for the client, this clause helps prevent misunderstandings and ensures efficient project management.
Client Representatives. PNP will provide Client’s authorized representatives with a logon and password to access the Counter Module. Client shall be solely responsible for maintaining the confidentiality and security of the logons and passwords provided by PNP. Client will cause each of its representatives to change the initial password, keep the passwords confidential, refrain from sharing passwords and/or logon information with any unauthorized user, and use no other password to access the Counter Module. PNP shall be entitled to rely on any communications it receives under Client’s passwords, logon information, and/or account number as having been sent by Client, without conducting any further checks as to the identity of the user of such information. PNP will not be responsible for the operability or functionality of any of Client’s computer equipment, system, browser or Internet connectivity.
Client Representatives. The representatives of the Client who shall have full authority to request the Additional Services to be provided [and to terminate such Additional Services] are ________________ or any other person designated in writing by the Client.

The Client shall cause its Representatives to fully comply with and be bound by the terms of this Agreement to the same extent as if the Representatives were signatories to this Agreement and shall cause its Representatives to regard any and all Confidential Information they receive as confidential. In particular, no Confidential Information furnished by Consultant may be distributed to, or shared with, any other investment advisor or investment consultant that the Client may retain. The Client shall be responsible for any breach of this Agreement by any of its Representatives. The terms of this Confidentiality clause will survive the termination date of the services provided and continue for five years thereafter.

Attorneys agree to keep the Client’s Representatives informed of all significant developments regarding the representation.
