Common use of Client Indemnities Clause in Contracts

Client Indemnities. The Client indemnifies, and will keep indemnified, Evologic from and against any loss, Liability, damage, cost or expense (including any enforcement cost on a full indemnity basis) arising out of or in connection with: (a) any Claim made or brought against Evologic alleging that: (i) the Processing of Client Data, whether undertaken by the Client or Evologic, in accordance with this Agreement infringes upon a third party right or is in breach of the Law; (ii) the cost of Third-Party Provider Product Licence fees owing or owed by Evologic on behalf of the Client; (iii) the Client’s access or use of any Service in a manner that: (A) is contrary to the User Guidelines; (B) breaches the Law; or (C) infringes the Intellectual Property Rights of any third party; and (iv) the Client undertaking any of the restricted actions specified at clause 4.2.

The Client indemnifies, and will keep indemnified, Evologic S01VE from and against any loss, Liability, damage, cost or expense (including any enforcement cost on a full indemnity basis) arising out of or in connection with: (a) any Claim made or brought against Evologic S01VE alleging that: (i) the Processing of Client Data, whether undertaken by the Client or EvologicS01VE, in accordance with this Agreement infringes upon a third party right or is in breach of the Law; (ii) the cost of Third-Party Provider Product Licence fees owing or owed by Evologic S01VE on behalf of the Client; (iii) the Client’s access or use of any Service in a manner that: (A) is contrary to the User Guidelines; (B) breaches the Law; or (C) infringes the Intellectual Property Rights of any third party; and (iv) the Client undertaking any of the restricted actions specified at clause 4.2.

The Client indemnifies, and will keep indemnified, Evologic Powernet from and against any loss, Liability, damage, cost or expense (including any enforcement cost on a full indemnity basis) arising out of or in connection with: (a) any Claim made or brought against Evologic Powernet alleging that: (i) the Processing of Client Data, whether undertaken by the Client or EvologicPowernet, in accordance with this Agreement infringes upon a third party right or is in breach of the Law; (ii) the cost of Third-Party Provider Product Licence fees owing or owed by Evologic Powernet on behalf of the Client; (iii) the Client’s access or use of any Service in a manner that: (A) is contrary to the User Guidelines; (B) breaches the Law; or (C) infringes the Intellectual Property Rights of any third party; and (iv) the Client undertaking any of the restricted actions specified at clause 4.2.
