Class J Incentive Units Sample Clauses

Class J Incentive Units. On the Effective Date, the Company has granted 526.3 Class J Incentive Units to ▇▇▇▇▇▇▇▇ Member, which represent 100% of the issued and outstanding Class J Incentive Units as of the date hereof. 100% of the Class J Incentive Units shall vest on the date which is the fifth (5th) anniversary of the Effective Date; provided, that in connection with an AHI Vesting Change of Control, 100% of the Class J Incentive Units shall vest on the date of, and immediately prior to, such AHI Vesting Change of Control. Notwithstanding the foregoing, if an AHI Reversion Event For Cause occurs prior to the fifth (5th) anniversary of the Effective Date, and an AHI Vesting Change of Control has not occurred prior to such time, then the Class J Incentive Units shall be forfeited in their entirety.
