Common use of Claims Defined Clause in Contracts

Claims Defined. For purposes of this Agreement, “Claims” means all claims or actions by third parties threatened or filed, that directly or indirectly relate to the subject matter of the indemnity being provided and the resulting losses, damages, expenses, attorney’s fees and costs, whether incurred by settlement or otherwise, and whether such claims or actions are threatened or filed before or after the termination of this Agreement.
