CIN. LEGAL represents and warrants to you as follows: (a) CIN LEGAL is a corporation validly organized and in good standing under the laws of the State of Iowa and has the authority to execute and deliver this Agreement, and to perform its obligations under this Agreement; and (b) the execution, delivery and performance of this Agreement by CIN LEGAL will not violate any other agreement to which CIN LEGAL is a party.
