A CIIAA, or California Inventions Assignment and Confidentiality Agreement, is a contractual clause that governs the ownership of inventions and the protection of confidential information created by an employee during their employment. Typically, this clause requires employees to disclose any inventions or intellectual property developed while working for the company and to assign ownership rights of those inventions to the employer, especially if they are related to the company's business or created using company resources. The clause also obligates employees to maintain the confidentiality of proprietary information. Its core function is to ensure that employers retain rights to valuable intellectual property developed by employees and to protect sensitive business information from unauthorized disclosure or use.
