Common use of CIBC and Affiliates Clause in Contracts

CIBC and Affiliates. With respect to any Pool Receivable -------------------- owned by CIBC, CIBC shall have the same rights and powers under this Agreement and any document delivered pursuant hereto as would any Secondary Purchaser and may exercise the same as though it were not the Administrative Agent. CIBC and its Affiliates may generally engage in any kind of business with the Seller, any Seller Subsidiary or any Obligor and any of their respective Affiliates and any Person who may do business with or own securities of the Seller, any Seller Subsidiary or any Obligor or any of their respective Affiliates, all as if CIBC were not the Administrative Agent and without any duty to account therefor to any Secondary Purchaser.
