Common use of Choice of Law; Severability; Waiver Clause in Contracts

Choice of Law; Severability; Waiver. This Agreement will be governed by the laws of the State of California, United States, without reference to the conflict of law provisions thereof. If any provision of this Agreement, or portion thereof, shall be held invalid or unenforceable by a court of competent jurisdiction, such invalidity or unenforceability shall attach only to such provision or portion thereof, and shall not in any manner affect or render invalid or unenforceable any other provision, or portion thereof, of this Agreement. For the avoidance of doubt, the laws of England shall not apply to your employment or termination in, or transfer to, the United States. You will remain responsible for any taxes or reporting obligations, if any, under the laws of England for any income or benefits received by you. No breach of any provision hereof can be waived unless in writing. Waiver of any one breach of any provision hereof will not be deemed to be a waiver of any other breach of the same or any other provision of this Agreement.
