Common use of Chief Manager Clause in Contracts

Chief Manager. Unless provided otherwise by a resolution adopted by the Board of Governors, the Chief Manager (a) shall have general active management of the business of the Company; (b) shall, when present, preside at all meetings of the members and Board; (c) shall see that all orders and resolutions of the Board are carried into effect; (d) may maintain records of and certify proceedings of the Board and members; and (e) shall perform such other duties as may from time to time be prescribed by the Board.

Chief Manager. Unless provided otherwise by a resolution adopted by the Board of Governors, the Chief Manager shall (ai) shall have general active management of the business of the Company; (bii) shall, when presentin the absence of the Chairperson and Vice Chairperson of the Board, preside at all meetings of the members and Boardthe Board of Governors; (ciii) shall see that all orders and resolutions of the Board of Governors are carried into effect; (d) may maintain records of and certify proceedings of the Board and members; and (eiv) shall perform such other duties as may from time to time be prescribed by the Board.

Chief Manager. Unless provided otherwise by a resolution adopted by the Board of Governors, the Chief Manager (a) shall have general active management oversee the day-to-day operation of the business of the Company; (b) shall, when present, preside at all meetings of the members and Board; (c) shall see that all orders and resolutions of the Board are carried into effect; (dc) may maintain records of and certify proceedings of the Board and membersMember(s); (d) shall execute and deliver in the name of the Company contracts and the like within authority as granted by the Board of Governors; and (e) shall perform such other duties as may from time to time be prescribed by the Board.
