Checks, etc. All checks, drafts, bills of exchange or other orders for the payment of money out of the funds of the Corporation, and all notes or other evidences of indebtedness of the Corporation, shall be signed in the name and on behalf of the Corporation in such manner as shall from time to time be authorized by the Board or the Chief Executive Officer, which authorization may be general or confined to specific instances.

Checks, etc. All checks, promissory notes and other commercial paper and all other contracts necessary or proper to be executed in the business of the Limited Liability Company may be signed by such manager or managers or such person or persons as the Board of Governors shall, by resolution from time to time, authorize for that purpose.

Checks, etc. Fiscal Year . The fiscal year of the corporation shall commence or end at such time as the Board may designate. Bank Deposits, Checks, etc. The funds of the corporation shall be deposited in the name of the corporation or of any division thereof in such banks or trust companies in the United States or elsewhere as may be designated from time to time by the Board or the executive committee, or by such officer or officers as the Board or the executive committee may authorize to make such designations. All checks, drafts or other orders for the withdrawal of funds from any bank account shall be signed by such person or persons as maybe designated from time to time by the Board or the executive committee. The signatures oh checks, drafts or other orders for the withdrawal of funds may be in facsimile if authorized in the designation. Location of Books . Unless otherwise expressly required by the DGCL, the books and records of the corporation may be kept outside of the State of Delaware.

Checks, etc. The Manager, or with its approval, one or more officers, may from time to time designate such employees, persons, entities, officers or agents who shall have power on behalf of the Company, in its name, to sign and endorse checks and drafts and to authorize the wire transfers of funds.
