Charitable Transfer Sample Clauses

Charitable Transfer. From the Closing or, the Distribution if the Exchange Shares are issued to the Contributor, the Investors will cooperate to permit and will cooperate to cause the Contributor to permit, as applicable, Charitable Transfers by an Investor to a Charitable Organization or to any person associated with an Investor that such Investor deems appropriate in order to effectuate the Charitable Transfer; provided that the Investor shall cause any interim transferee to promptly Transfer any such Shares to such Charitable Organization.
