Changes to Form or Time of Distribution. Except as otherwise provided herein, the time and form of distribution of shares of Common Stock with respect to the vested Units under this Agreement shall be as set forth in the this Agreement and if applicable, the Deferral Election, and may only be changed in compliance with the requirements of Section 409A(a)(4)(C) of the Code and the Treasury Regulations thereunder, and only with the prior written consent of the Company’s General Counsel.
