Changes Since. 31 December 2013 Except as a result of the execution and delivery of this Agreement from 31 December 2013 to the date of this Agreement: 2.6.1 the Seller’s Contributed Business has been conducted in all material respects in the ordinary and usual course; 2.6.2 the Seller’s Contributed Business has not entered into any material contract or commitment outside the ordinary course of business as conducted prior to 31 December 2013; and 2.6.3 to the Seller’s knowledge, there has been no event or circumstance arising which is reasonably likely to have had a Material Adverse Effect (as if reference in the definition of Material Adverse Effect to the date of this Agreement were to 31 December 2013).
