Changes in Tender Offer. Without the consent of the Parent and the Seller, the Purchaser shall not (a) reduce the number of Class A Shares to be purchased in the Tender Offer, (b) reduce the Tender Offer Price, (c) modify or add to the Tender Offer Conditions in a manner that is materially adverse to the holders of Class A Shares or (d) change the form of consideration payable in the Tender Offer.
