Changes in Net Assets. Since the Balance Sheet Date and at all times up to the date of the Closing, no material changes have occurred in the assets and liabilities (whether actual or contingent) shown in the Financial Statements, other than changes in the usual and ordinary course of business, and there has been no material reduction in the value of the net tangible assets of the Group Companies on the basis of the valuations adopted in the Financial Statements.
