Common use of Changes in constitution or reorganisation of the Lender Clause in Contracts

Changes in constitution or reorganisation of the Lender. For the avoidance of doubt and without prejudice to the provisions of Clause 14.1 (Binding Effect), this Agreement shall remain binding on the Borrower and the other Security Parties notwithstanding any change in the constitution of the Lender or its absorption in, or amalgamation with, or the acquisition of all or part of its undertaking or assets by, any other person, or any reconstruction or reorganisation of any kind, to the intent that this Agreement shall remain valid and effective in all respects in favour of any Assignee, Transferee or other successor in title of the Lender in the same manner as if such Assignee, Transferee or other successor in title had been named in this Agreement as a party instead of, or in addition to, the Lender.

For the avoidance of doubt and without prejudice to the provisions of Clause 14.1 7.1 (Binding EffectAssignment by the Lender), this Agreement Guarantee shall remain binding on the Borrower and the other Security Parties Guarantor notwithstanding any change in the constitution of the Lender or its absorption in, or amalgamation with, or the acquisition of all or part of its undertaking or assets by, any other person, or any reconstruction or reorganisation of any kind, to the intent that this Agreement Guarantee shall remain valid and effective in all respects in favour of any Assigneeassignee, Transferee transferee or other successor in title of the Lender in the same manner as if such Assigneeassignee, Transferee transferee or other successor in title had been named in this Agreement Guarantee as a party instead of, or in addition to, the Lender.
