Change of Control Triggering Event Clause Samples
A Change of Control Triggering Event clause defines what happens if there is a significant change in the ownership or control of a party to the agreement. Typically, this clause specifies that if a company is acquired, merges, or undergoes a major shift in its controlling interests, certain rights or obligations—such as early termination, mandatory repayment, or consent requirements—are activated. The core function of this clause is to protect parties from unforeseen risks or changes in business relationships that could arise from a change in control, ensuring stability and predictability in contractual arrangements.
