Change of Control Provisions. Except as disclosed on Section 3.16 of the Company Disclosure Schedule or as expressly provided for in or permitted by this Agreement, no director, officer or employee of the Company or any subsidiary of the Company (other than the Shareholders) will be entitled to receive additional compensation, other payments or other rights (whether as a result of any employee benefit plan, program or arrangement, any contract or other agreement, or otherwise) as a result of the execution of this Agreement, the consummation of the Merger, the consummation of any of the other transactions contemplated hereby or otherwise in connection with a change of control of the Company.
